Terms of Service

These Terms of Service govern your use of the Dakera AI website (dakera.ai) and the Dakera software ("the Software"). By accessing this website or downloading and using the Software, you agree to these terms. If you do not agree, do not use the Software or this website.

1. About Dakera AI

Dakera AI ("Dakera", "we", "us") builds and distributes the Dakera AI agent memory server — a self-hosted software product that enables persistent memory for AI agents. Dakera operates as an open-core product: the core server software is proprietary, while SDKs and related tooling are published under the MIT License.

2. License Terms

Dakera software components are distributed under two distinct license models:

Server Software

Proprietary — Free to Self-Host

The Dakera memory server binary is proprietary software. You may download, install, and run it on your own infrastructure at no charge. You may not redistribute, sublicense, modify, reverse-engineer, or create derivative works from the server binary.

SDKs & Tooling

MIT License

The Python, JavaScript, Rust, and Go SDKs, the CLI, and the MCP server are published under the MIT License. You may freely use, modify, and redistribute them subject to the MIT License terms included in each repository.

The applicable license for each component is specified in the respective GitHub repository. When in doubt, assume the server binary is proprietary and all packages published to package registries (PyPI, npm, crates.io, pkg.go.dev) are MIT-licensed unless otherwise stated.

3. Permitted Use

Subject to these terms, you may:

  • Download and self-host the Dakera server binary on your own infrastructure for any purpose, including commercial production use
  • Use the MIT-licensed SDKs and tooling in your own software products, including commercial products
  • Access dakera.ai to read documentation, download software, and use the waitlist form
  • Integrate Dakera into AI agent systems, frameworks, and applications

4. Acceptable Use

You agree not to use the Software or this website to:

  • Redistribute, resell, or sublicense the proprietary server binary to third parties
  • Reverse-engineer, decompile, or disassemble the server binary
  • Remove or alter copyright notices, license headers, or attribution within the Software
  • Misrepresent the origin of the Software or claim you created it
  • Use this website in any way that could damage, disable, or impair it or interfere with other users
  • Attempt to gain unauthorised access to any systems or networks associated with Dakera
  • Use automated tools to scrape or harvest content from dakera.ai beyond what is necessary for search indexing

Violations of these terms may result in termination of your license to use the Software and, where applicable, legal action.

5. Intellectual Property

All intellectual property rights in the Dakera server software, including the binary, documentation, and brand assets, remain the exclusive property of Dakera AI. Nothing in these terms transfers ownership of any intellectual property to you.

The MIT-licensed components (SDKs, CLI, MCP server) are owned by Dakera AI and licensed to you under the terms of the MIT License. Your rights to those components are defined by that license, not by these Terms of Service.

The Dakera name, logo, and associated brand assets are trademarks of Dakera AI. You may not use them without prior written permission, except as strictly necessary to accurately describe your use of the Software (e.g., "built with Dakera").

6. No Warranty

The Software is provided "as is" without warranty of any kind. To the fullest extent permitted by applicable law, Dakera AI expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties that the Software will be uninterrupted, error-free, or free of harmful components
  • Warranties regarding the accuracy or completeness of any output produced by the Software
  • Warranties that defects will be corrected

You assume full responsibility for your use of the Software and for ensuring it meets your requirements before deploying it in production.

THE SOFTWARE IS PROVIDED "AS IS". DAKERA AI MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SOFTWARE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Dakera AI, its founders, employees, or contributors be liable for any:

  • Indirect, incidental, special, exemplary, or consequential damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages arising from your use of or inability to use the Software
  • Damages arising from unauthorised access to or alteration of your data
  • Damages caused by third-party conduct or services

This limitation applies regardless of the legal theory under which such damages are claimed, even if Dakera AI has been advised of the possibility of such damages. In jurisdictions that do not allow limitation of liability for consequential damages, liability is limited to the maximum extent permitted by law.

Because the Software is provided free of charge, our total aggregate liability to you for any claim arising from your use of the Software shall not exceed USD $100.

8. Indemnification

You agree to indemnify, defend, and hold harmless Dakera AI and its founders, employees, and contributors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Software in violation of these terms
  • Your violation of any applicable law or regulation
  • Data processed by your Dakera instance that infringes third-party rights
  • Any misrepresentation you make regarding your use of the Software

9. Third-Party Services and Dependencies

The Software may integrate with third-party services (AI providers, cloud storage, etc.) at your direction and configuration. Dakera AI has no responsibility for third-party services you connect to your Dakera instance. Your use of those services is governed by their respective terms and policies.

The MIT-licensed SDKs and open-source dependencies bundled with the Software are subject to their own respective licenses, which are listed in the applicable repository.

10. Termination

These terms remain in effect until terminated. Your rights under these terms terminate automatically if you breach any provision. Upon termination, you must cease all use of the proprietary server software and destroy any copies in your possession.

Termination does not affect your rights under the MIT License for MIT-licensed components, which are governed solely by that license.

Dakera AI reserves the right to discontinue distribution of the Software or modify the terms under which it is offered, with reasonable notice where practicable.

11. Governing Law

These terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any dispute arising from or relating to these terms or the Software shall be subject to the exclusive jurisdiction of the courts of France.

If any provision of these terms is found to be unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

12. Changes to These Terms

We may revise these Terms of Service from time to time. The "Last updated" date at the top of this page reflects the date of the most recent revision. Material changes will be indicated by an updated date.

Your continued use of the Software or this website after changes are posted constitutes your acceptance of the revised terms. If you do not agree to the revised terms, discontinue use of the Software.

We encourage you to review these terms periodically. For significant changes, we will make reasonable efforts to provide notice via the Dakera GitHub repositories or this website.

13. Entire Agreement

These Terms of Service, together with the Privacy Policy and any applicable open-source license terms, constitute the entire agreement between you and Dakera AI regarding the Software and this website. They supersede all prior negotiations, agreements, and understandings of any kind between the parties relating to the subject matter.
